General Terms and Conditions of Trade

 

Scope of application

Our performance, offers or supply is effected under consideration of these General Terms and Conditions of Trade. Additional agreements to these conditions are only valid if they were fixed between the two partners in writing. Unilateral proviso or conditions in connection with the application for registration are not subject of the contract.

The trainers/ subject specialists/ lecturers/ advisors that are engaged by us on a self-employed and permanently employed basis act on behalf of Friedrichsbad-Team GmbH, Hattingen. Orders that were made deriving from, subsequent to or in addition to these activities have to be concluded with Friedrichsbad-Team GmbH.
 

Offers and conclusion of a contract

Offers submitted by Friedrichsbad-Team GmbH are not binding and without obligation. Orders are effected in writing by mail, by telecopy, by email or via our website. Receipt of order will be confirmed in writing, preferably by email.

With registration/ order the partner of the contract/ customer is obligated to accept the ordered performance or goods.

When you, the partner of the contract, receive the order confirmation, the contract is made.

Any presentation booked is well prepared with regard to contents and organisation. Applications will be considered in the order of registration. Please carry out your planned registrations as soon as possible.
 

Subject of the contract

The scope of the contractual performance regarding the relevant seminar is indicated in the corresponding information documents, further details will be fixed in the application form.

Please see ‚seminars/ courses of studies’ regarding the places where the seminars are held. In single cases it might be necessary to transfer the place of the seminar to a similar venue of a conference. In this case, we will inform you in time.

In addition to the prices of the seminar, the participants have to bear accommodation costs. Costs for provisions are obligatory, that means that a booking of an open seminar is not possible without catering. In contrast to this, accommodation(s) can be booked optionally.

You will find the applicable conference lump sum either on ‚seminars/ courses of studies’ –‚conference places/ lump sums’ or in our printed annual programme.
 

Proviso of implementation, cancellation, notice of cancellation and re-registration

Seminars will not be held, when the necessary minimum number of participants is not reached, the lecturer is ill or other important causes are given that cannot be influenced. We will inform you immediately about these changes and fees already transmitted to us will be credited or reimbursed.

Please inform us about cancellations or re-registrations in writing. The date of the postal imprint is decisive.

Three weeks before the seminar you will have to bear 50 % of the seminar price in case of cancellation or re-registration. For reserved accommodation and/or provision that are not utilized claims for the deficiency will be made at an amount of 80 % of the booked conference lump sum.

Bookings for substitute participants for seminars at the same date are possible free of charge. In case of non-participation – without prior cancellation – the total amount will be due.
 

Payment

Payments have to be effected 14 days after date of invoice indicating the corresponding number of the invoice. Payments for public seminars have to be affectetd 14 days before the seminar starts, at least three days before the seminar starts if the seminar was booked short-dated.
 

Data protection

With your registration you agree to store your data electronically and to process them appropriately. We will protect your personal-related data. We will treat the data handed over to us confidentially and we will use it only in accordance with data protection regulations. Your inventory data is saved by us in our customer file and is only used to deliver the performance or to supply goods and for invoicing. In so far as you do not indicate anything different, we will inform you about our current seminar program, single conferences and our product related offers. At any time you may revocate your agreement for this in writing.

Conclusion of a contract

Receipt of an order is confirmed by us via email. Here the details of the order are listed.
The contract is made when the ordered article/s are sent.
If an article is not available anymore, we will inform you immediately and payments already effected will reimbursed.
 

Reservation of title

The delivered goods belong to you, as soon as the purchase price has been completely paid to us.
 

Right of withdrawal

You are allowed to withdraw from the contract of sale within 14 days. This has to be effected either in writing (e.g. by email, telecopy or letter) or by returning the undamaged good(s). You meet the deadline for objection by sending the impeccable good(s) in time or the written withdrawal. The term starts a day after receipt of goods at your company. Delivery

In general, the delivery is effected by Friedrichsbad-Team GmbH, Hattingen. We deliver as soon as possible to the shipping address indicated by the purchaser. Deliveries to post-boxes etc. are not possible.
 

Forwarding expenses

For the transport of our articles we will charge the corresponding most favourable rate of Deutsche Post plus packing lump-sum of € 2,00.
 

Payment

To registered customers we deliver upon open account. The invoice has to be paid within 14 days after receipt of goods, without deduction.
New customers pay cash in advance (by bank transfer or direct debit).

If the invoiced amount is not booked on our above mentioned account within the legal period of 30 days, you are in delay. In case of delay in payment we will charge interests for delay at  4 % above the base lending rate.
 

Liability for defects

We want satisfied customers. Therefore the articles ordered by you leave our stock in good order and condition.
Should a verifiable defect occur though, the legal prescriptions about liability for defect apply.
In general, that means that we replace the complained article. If this is not possible, we will reimburse the purchase price, provided that payments have already been effected.
Friedrichsbad-Team GmbH is not liable for damages/ defects, produced by the supplier, by force majeure or other circumstances, beyond our influence.
 

Place of jurisdiction

Our Terms and Conditions of Trade are subject to the rights of the Federal Republic of Germany. Exclusive place of jurisdiction in cases of legal discrepancies is the court in charge of the city where our registered office is located.
